Terms of Service

1. Engagement & Acceptance

By accessing this website, submitting an inquiry, or entering into a Statement of Work (SOW) with DevGenXai LLC ("DevGenXai"), you agree to be bound by these Terms of Service. Individual client projects are governed by a mutually executed Master Services Agreement (MSA) and project-specific SOWs which supersede these general website terms.

2. Intellectual Property (IP) Transfer & Source Code Rights

We firmly stand behind client code sovereignty:

• Client Ownership: All bespoke source code, database architectures, APIs, deployment scripts, and architectural documentation created for a client are assigned 100% to the client upon delivery and payment.
• No Vendor Lock-in: We deliver modular, documented codebases (TypeScript, Python, Dockerfiles, SQL schemas) to your own Git repositories with zero proprietary runtime licensing fees.
• Open-Source & Third-Party Libraries: All third-party libraries incorporated into deliverables are licensed under permissive open-source licenses (e.g., MIT, Apache 2.0, BSD) or client-approved enterprise licenses.

3. Sprint Delivery, Timelines & Milestone Billing

Our engineering services are executed in agile sprints with bi-weekly staging reviews:

• Discovery Sprint: Typically 2 weeks to validate technical architecture, schema designs, API contracts, and UX blueprints.
• Production Build: Typically 4 to 8 weeks for core production MVPs or modular AI agent graphs, governed by milestone deliverables defined in your SOW.
• Estimates: Estimates generated via our online calculator or introductory discussions are indicative. Final fixed-scope or dedicated-pod pricing is formalized in a binding SOW following architecture review.

4. Code Quality & 30-Day Post-Launch Warranty

All production code delivered by DevGenXai undergoes dual-architect code review and automated CI/CD testing. We provide a standard 30-day post-launch warranty covering any reproducible defects or deviations from the agreed SOW specifications at no additional cost.

5. Confidentiality & Non-Disclosure

We treat all client business concepts, data, and software specifications as strictly confidential under binding Non-Disclosure Agreements (NDAs). We never disclose unannounced features or private commercial information without prior written consent.
